Terms of Service

1. Agreement to Terms

By accessing and using Vanshol's services, you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service govern your use of our PCB manufacturing services, website, and related communications.

If you do not agree to abide by the above, please do not use our services. Vanshol reserves the right to modify these terms at any time without prior notice.

2. Service Description

Vanshol provides comprehensive PCB manufacturing services including but not limited to:

PCB design and engineering consultation
Prototype and production manufacturing
RF circuit design and antenna tuning services
Assembly and testing services
ODM/OEM customization solutions

All services are subject to our technical specifications, manufacturing capabilities, and quality standards as outlined in our quotations and service agreements.

3. Orders and Payments

3.1 Order Acceptance

All orders are subject to our acceptance and confirmation. We reserve the right to refuse or cancel any order at our discretion. Order confirmation will be provided via email with detailed specifications and delivery timelines.

3.2 Payment Terms

Payment terms are Net 30 days from invoice date unless otherwise specified. For new customers or large orders, advance payment may be required. Late payments may incur interest charges at 1.5% per month.

3.3 Pricing

All prices are quoted in USD and are subject to change without notice. Final pricing will be confirmed in the order acknowledgment. Additional charges may apply for expedited services, design modifications, or special requirements.

4. Quality Assurance and Warranties

4.1 Quality Standards

All products are manufactured according to ISO 9001 standards and undergo comprehensive quality control testing including flying probe, AOI, impedance control, and thermal cycling validation.

4.2 Warranty Period

We provide a 12-month warranty against manufacturing defects from the date of shipment. This warranty covers material and workmanship defects but excludes damage from misuse, modification, or normal wear and tear.

4.3 Limitation of Liability

Our liability is limited to repair, replacement, or refund of defective products. We shall not be liable for any indirect, consequential, or incidental damages including but not limited to loss of profits, business interruption, or data loss.

5. Intellectual Property

5.1 Customer IP Rights

All customer-provided designs, specifications, and intellectual property remain the exclusive property of the customer. We maintain strict confidentiality and will not disclose or use customer IP for any purpose other than fulfilling the agreed services.

5.2 Vanshol IP Rights

Our manufacturing processes, methodologies, and proprietary technologies remain our intellectual property. Any improvements or modifications we develop during the manufacturing process belong to Vanshol unless otherwise agreed in writing.

6. Delivery and Risk Transfer

6.1 Delivery Terms

Delivery times are estimates and not guaranteed unless expressly agreed in writing. We ship globally via DHL, FedEx, or other express carriers. Standard delivery for samples is 7-10 days, production orders vary based on complexity and quantity.

6.2 Risk Transfer

Risk of loss or damage transfers to the customer upon delivery to the carrier. We recommend purchasing appropriate shipping insurance for valuable shipments.

7. Confidentiality

We understand the sensitive nature of customer designs and maintain strict confidentiality protocols. All customer information, designs, specifications, and business data are treated as confidential and proprietary.

Our team members sign comprehensive non-disclosure agreements, and we implement security measures to protect customer data throughout the manufacturing and delivery process.

8. Compliance and Certifications

Our products comply with international standards including CE, UL, RoHS, REACH, FCC, and IC certifications. We maintain current certifications and provide necessary documentation for regulatory compliance.

Customers are responsible for ensuring their specific application requirements and regional compliance needs are communicated during the design phase.

9. Termination

Either party may terminate ongoing services with 30 days written notice. Completed work and work-in-progress will be billed according to the agreed terms. Termination does not affect warranty obligations for delivered products.

In case of breach of these terms, we reserve the right to terminate services immediately and pursue appropriate legal remedies.

10. Governing Law

These Terms of Service are governed by and construed in accordance with applicable international commercial law. Any disputes arising from these terms or our services shall be resolved through binding arbitration or in courts of competent jurisdiction.
